These Terms of Service ("Terms") apply to every recruiting, training, placement and assistant management service offered by Executive to CEO ("Executive to CEO", "we", "us"). By accepting a quote, completing checkout or making any payment, you ("Client", "you") agree to these Terms. If your quote says something different from these Terms, the quote controls for that item.

01

Our Services

Executive to CEO recruits, vets, trains and places executive assistants and life managers (each an "Assistant") with business owners, executives and their families. Depending on your quote, our services may include sourcing and screening, interviews, skills training, onboarding, placement, and ongoing training or management of your Assistant (the "Services").

02

Term

The Services begin when you accept your quote or complete checkout. One-time placements end when your Assistant is placed and all fees are paid. Monthly training or management plans renew automatically each month until cancelled under Section 8.

03

Fees and Payment

You agree to pay all fees shown on your quote, which may include a placement fee, a training fee and a monthly fee. Unless your quote says otherwise, the placement fee is due in full when you accept the quote, before the search begins. Monthly fees are charged in advance. Taxes are your responsibility where applicable. Balances more than 7 days past due may incur the late fee stated in your quote, up to the maximum allowed by law.

04

Payment Authorization

You authorize Executive to CEO and its payment processors to securely store your payment method and charge it for all fees under your quote, including recurring and installment payments, on their due dates. You may update your payment method at any time by contacting us at least 5 days before the next charge.

05

Refunds

Our recruiting, vetting and training work starts as soon as you enroll. For that reason, all fees are non-refundable once the search or training has begun, whether or not you hire a candidate we present. The only exception is a refund or guarantee written into your quote, and it applies only on the exact conditions stated there.

06

Replacement

If your quote includes a replacement period and your Assistant resigns or is let go for performance during that period, we will search for a replacement once, at no additional placement fee. A replacement is not available if the Assistant leaves because of a change in the role, pay, hours or duties, a breach of these Terms by you, unlawful or unsafe working conditions, or unpaid fees. A replacement is our only remedy; it is not a refund.

07

No Hiring Around Us

Every candidate we introduce, including those you interview but don't select, is our introduction. If you or anyone connected to you hires, engages or contracts with one of those candidates outside of our agreement within 12 months of the introduction, you agree to pay our full placement fee for that person. This applies to direct hires and to hires through another agency or platform.

08

Cancellation and Termination

  • Monthly plans: you may cancel with 30 days' written notice. Cancelling stops future charges; it does not refund the current month.
  • Placements: you may stop a search at any time, but fees already paid or due remain due.
  • By us: we may pause or end the Services immediately if you breach these Terms, miss payments, or treat an Assistant or our staff in a way that is abusive, unsafe or unlawful. Any unpaid balance remains due.
09

Your Responsibilities

You agree to describe the role, pay, hours and duties accurately, respond to candidates and our team promptly, and provide a safe, lawful and respectful working environment. Once your Assistant is placed, you direct their day-to-day work.

10

Employment Relationship

Your quote states whether your Assistant is hired by you directly or engaged through us. For a direct hire, you are the employer or client of the Assistant and are responsible for their pay, taxes, benefits, insurance and compliance with employment law. Executive to CEO is a placement and training provider; it is not your employer, and it is not the Assistant's employer unless your quote says so.

11

Access, Accounts and Personal Property

Assistants often handle calendars, email, finances, travel, homes and family matters. You decide what access to give your Assistant, and you are responsible for the permissions, passwords, spending limits and safeguards you put in place. We screen candidates in good faith, but we do not control and are not responsible for the acts or omissions of an Assistant after placement.

12

Background Checks

Where your quote includes screening, we run the checks it lists, through third-party providers and only as permitted by law. Screening reduces risk; it cannot guarantee a candidate's future conduct or the completeness of public records.

13

Confidentiality

Both parties will keep confidential any non-public information shared by the other, including candidate details, résumés, salaries, and your personal and business information. Candidate information may be used only to evaluate candidates for your role. This does not apply to information that is already public or that must be disclosed by law.

14

Training Materials and Intellectual Property

Our training programs, playbooks, templates, systems and videos belong to Executive to CEO or its licensors. You and your Assistant may use them for your own household or business, but may not copy, resell, distribute or use them to train others without our written permission.

15

No Guarantee of Results

We work in good faith to find and prepare a strong fit, but we cannot guarantee a hire within a set time, a candidate's performance, how long they stay, or any business or personal outcome. Testimonials and examples reflect individual results and are not promised.

16

Limitation of Liability

To the maximum extent permitted by law, Executive to CEO will not be liable for any indirect, incidental, special, consequential or lost-profit damages, or for losses caused by an Assistant's acts or omissions. Our total liability for any claim is limited to the fees you actually paid us in the 3 months before the event giving rise to the claim.

17

Indemnification

You agree to indemnify and hold harmless Executive to CEO, its owners and staff from any claims, losses or costs arising from your breach of these Terms, your employment or treatment of an Assistant, or your violation of any law.

18

Chargebacks

You agree to contact us first about any billing issue. Filing a chargeback or payment dispute for fees owed under these Terms is a breach of these Terms; we may pause the Services, submit your signed quote and these Terms to your bank, and recover the amount plus reasonable collection costs.

19

Non-Solicitation and Non-Disparagement

During the Services and for 12 months after, you will not solicit or hire our recruiters, trainers or staff. You agree not to make false or disparaging public statements about Executive to CEO or its team. Nothing here limits your right to leave an honest review or to make any disclosure protected by law.

20

Governing Law and Arbitration

These Terms are governed by the laws of the State of Florida. Any dispute that cannot be resolved informally will be settled by binding arbitration administered by the American Arbitration Association in Miami, Florida, on an individual basis; class actions are waived. Either party may seek injunctive relief in court to protect confidential information or enforce Section 7. The prevailing party may recover reasonable attorneys' fees and costs.

21

Force Majeure

Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, outages of third-party platforms, illness or government action. Payment obligations are not excused.

22

Changes and General Terms

We may update these Terms from time to time. The version in effect when you accepted your quote applies to that purchase; updated Terms apply to renewals and new purchases. These Terms and your quote are the entire agreement between us, and the quote controls if the two conflict. You may not assign these Terms without our consent. If any part is unenforceable, the rest remains in effect. Sections on fees, Section 7, confidentiality, liability, indemnification and disputes survive the end of the Services.
